Livingstone has advised Hoffmeister GmbH (“Hoffmeister” or “the Company”) in its search for a new partner. Terms of the transaction will not be disclosed.

Founded in 1910 by Wilhelm Hoffmeister in Germany, Hoffmeister is a leading manufacturer of innovative lights and lighting systems in Europe, focusing mainly on museums, cultural institutions, and monuments. Employing ~80 people with a production facility in Germany, the company develops precise lighting instruments with high optical accuracy and photometric variety. The company’s product portfolio includes spotlights, track, linear systems, downlights, recessed floor lights, and spotlights.

Livingstone was exclusively mandated to carry out a structured M&A process, in which Mittelstandsische Beteiligungsgesellschaft mbH (“MB”) and a previous French owner SAMMODE, represented by Emmanuel Gagnez, participated in the merger.

“We are honored to have been entrusted by the shareholders throughout the process and would like to thank all parties involved. This acquisition is an ideal addition to our investment portfolio, and we look forward to working with the Gagnez family in the future. As long-term investors, we have experience in identifying growth potential and believe we have done so here. This will help us position Hoffmeister even more successfully in the future as a leading supplier, especially in the field of LED lights,” stated Prof. Dr. Peter Friggemann, Managing Partner of MB, on the completed transaction.

“We would like to thank Livingstone for the effective cooperation in the corona-burdened M&A process. We are happy to have found a sustainable solution for both the company and the Hoffmeister employees. Hoffmeister will remain on the market as a reliable partner and will emerge from this process strengthened by the additional shareholder”, commented administrator Martin Buchheister and added: “We would particularly like to thank the Hoffmeister staff, who, despite these difficult times, always support the restructuring of the company Has.”

Thorsten Klepper, attorney at Klepper & Partner, who advised Hoffmeister added, “An exciting process is coming to an end, and we are extremely pleased about the positive development and the entry of such an experienced investor. Hoffmeister’s prospects are very positive, and that has been reflected in the acceptance of the insolvency plan by the creditors’ meeting.”

“We are very pleased that Hoffmeister’s management and creditors placed their trust in us to support them in an advisory capacity in the search for investors. It was challenging to identify a suitable investor during the global pandemic with the knowledge and resources to support Hoffmeister in this upcoming realignment and develop the company over the long term. We thank everyone involved for the excellent cooperation,” said Dr. André Schröer, partner at Livingstone in Düsseldorf.
