Livingstone has advised the Amadys Group, a Belgian portfolio company of Equistone Partners Europe, on the add-on acquisition of SKG Netzwerktechnik GmbH.

Amadys has acquired 100% of the shares in SKG Netzwerktechnik GmbH and subsidiary FCS Fiber Components Slovakia with headquarters in Schwechat, Austria, and Nitra, Slovakia. The acquisition establishes Amadys’ market presence in Austria. The completion of the transaction is subject to approval from Austrian authorities.

Headquartered in Brussels, Amadys is a leading system integrator of end-to-end connectivity solutions for the telecom, infrastructure, energy, and data center markets. Amadys is active in the Benelux countries, Germany and Denmark, and generates an annual turnover of more than EUR 200MM. The Amadys Group is a leading provider of solutions in passive network components for utility infrastructure and offers a wide range of products – focusing on telecommunications, water, gas, and electricity – and industrial applications. Funds advised by Equistone took over the Amadys Group together with the management in December 2019.

SKG was founded in 1978 and is a leading provider of active and passive products for network technology and data cabling in Austria. Wide Area Network (WAN) and Telecom products account for more than 70% of SKG’s sales. However, the offering also includes products for Local Area Network (LAN) applications and maintenance and installation services. SKG has a diverse customer base in digital infrastructure and the areas of energy suppliers, technology, and construction companies.

The takeover of SKG marks an essential step in Amadys’ growth strategy. It lays the important foundation for future growth in Austria to internationalize the company to better serve international telecommunications customers as a leading European full-service provider of end-to-end connectivity solutions.

We are very pleased to welcome SKG to the Amadys Group,” commented Arthur Graevendiek, Managing Director DACH region. “SKG has more than 40 years of experience in fiber optics and serves its customers with highly reliable products, solutions, and systems. As Austria and Belgium are very similar in Fiber to the Home (FTTH) developments, we can leverage Amadys’ accumulated experience to help SKG become a significant player in the FTTH market.

With the acquisition of SKG Netzwerktechnik, Amadys has succeeded in continuing the growth path it has taken and the successful buy-and-build story in the DACH region following the acquisition of tso GmbH in Germany in spring 2021. I am firmly convinced this transaction will further expand the market position of Amadys and SKG in a currently booming FTTH market. We are pleased we were able to advise Amadys management and Equistone on another add-on transaction,” stated Johannes Faber, Partner at Livingstone Düsseldorf.

Hein Wilderjans, CEO of the Amadys Group, shared, “I would particularly like to thank the Tremmel family, as owners of the selling SKB Industrieholding, for the trust they placed in us during the structured sales process. In addition, special thanks go to the Livingstone team, whose support helped this process between Austria and Slovakia on the one hand and Belgium and Germany on the other hand to a successful conclusion despite all the Covid-19-related challenges.

The acquisition of SKG Netzwerktechnik GmbH by Amadys is the twelfth transaction overseen by Livingstone’s Telecommunications and Infrastructure sector team within 24 months.
