Livingstone’s Industrial team has advised the Spanish international cosmetics packaging group, Quadpack Industries SA, on the merger with UK packaging provider Collcap Group Ltd. By merging Collcap into the group, Quadpack Industries now becomes a leading presence in Europe for the manufacture and supply of packaging solutions to the beauty industry.

This transaction increases Quadpack’s workforce up to 271 people and projected proforma sales of €72.5m in 2016. Headquartered in Barcelona, Quadpack is a specialist manufacturer and developer of standard and bespoke packaging solutions for the beauty industry.

The Company’s products are used for skin care, make-up and fragrance. Since inception in 2003, the Company has grown from a small company into a global independent packaging group. Apart from a strong organic growth, the Company has boosted its industrial capacity through corporate acquisitions, while at the same time identifying key potential partners in its sector, materializing in firm collaborations with the first class manufacturers worldwide.

Created in 1993 and headquartered in Leek (Staffordshire), Collcap Packaging delivers innovative packaging solutions for the beauty, fragrance and personal care industries, with extensive expertise in glass and plastic tubes. Collcap has a talented team and a robust sourcing operation in Asia. Both companies had known each other for a long time, sharing similar business cultures. This merger will allow the union of two teams with a high level of specialization dedicated to the development of packaging solutions for beauty products, produced in their own facilities as well as by partner manufacturers located in Asia and Europe.

For Quadpack, this transaction represents another step forward in the Company’s strategic growth plan that began in early 2016 with the acquisition of the company’s injection molding company, Rinaplast, now Quadpack Plastics.

“The contribution of Livingstone was a key factor in getting this deal done and bringing the two parties together. Livingstone´s experience in working on cross border transactions was especially useful in reaching an agreement to merge the two companies”, said Marc Sahonet, Board Member of Quadpack.

“The merger of Quadpack and Collcap made sense from the beginning from both a geographical and product standpoint. We at Livingstone were pleased we were able to provide a structure for the transaction that made sense for both sides and which puts a solid basis in place for the companies to work together in the future”, said Steven Lewis, Partner of Livingstone Spain, responsible for the transaction.
