Livingstone Düsseldorf’s Industrial Sector team have advised the shareholders of industrial controls group acam-messelectronic GmbH on the sale of the business to listed Austrian-based ams AG.

acam is leading developer and manufacturer of industrial controls for sensor solutions based on Time-to-Digital Converters with applications in automotive test systems, medical technology, consumer electronics, and industrials. The shareholders appointed Livingstone to approach potential strategic acquirers with exiting activities in high-performance sensors, which would be able to provide the resources to support acam’s future growth.

The acquirer, ams, is a leading provider of high performance sensor solutions and analogue ICs. With its global distribution network and the opportunity to apply acam’s in a wider range of current and future products, ams offers a compelling strategic fit.

“We are very excited about the successful acquisition of acam, which has a clear USP in several markets and is known as technology leader.” said Thomas Stockmeier COO of ams AG.

Augustin Braun, founder of acam, commented: “A new era has begun for us. With ams support, new possibilities emerge to exploit further markets and to apply our technology on a broad basis.”

Andreas Larsch, co-founder of acam, adds: “We see great synergy potentials with ams and are convinced that we can jointly utilise these significant growth potentials in the upcoming years.

“We are happy to have had Livingstone as a very professional advisor on our side, who supported the project work and negotiations with ams in a very efficient and engaged way.”

Dr. Ralf Nowak, Partner at Livingstone Düsseldorf, added: “From our point of view, there is compelling strategic rationale behind this transaction. With this acquisition, ams can gain access to valuable technology and highly specialised ‘know how’, which was not previously available to it. acam is now able to exploit the existing potential via a larger sales and distribution platform, additional customer contacts and joint new developments.”
